Terms of Service

Who you're contracting with. These terms are a binding agreement between you and Howland Liva ("Astrulite", "we", "us"), the operator of the Astrulite service and website (astrulite.com). By creating an account or using the service you agree to these terms. If you use the service on behalf of an organisation, you confirm you have authority to bind that organisation.

The service. Astrulite provides AI-assisted hardware design tools, including chat-based project workspaces, BOM and CAD generation, a marketplace for digital design bundles, and related paid plans and credits.

Accounts. You must provide accurate account information, keep it up to date, and keep your credentials confidential. You are responsible for activity under your account.

Acceptable use. You must not:

• Use Astrulite for unlawful purposes, fraud, or to infringe others' rights.
• Plan weapons, illegal devices, or systems intended to cause harm.
• Introduce malware, probe or scan the service, scrape it at scale, or interfere with its security or availability.
• Reverse engineer, resell, redistribute, or circumvent technical limits of the service.
• Upload content you do not have the right to use, or content that is illegal, harmful, or violates third-party rights.

AI outputs. You are responsible for your prompts, for how you use the outputs, and for verifying their accuracy before relying on them. Outputs may be inaccurate or incomplete and are not a substitute for qualified engineering review. Anything you intend to manufacture, sell, or deploy must be reviewed by a qualified engineer and tested for compliance with applicable standards and regulations. We may filter, restrict, or refuse outputs, and may suspend accounts that repeatedly generate infringing or prohibited content.

Your content. You retain ownership of the designs, BOMs, CAD files, listings, and other outputs you create. You grant Astrulite a limited, worldwide, non-exclusive licence to host, process, transmit, and display your content solely to operate and improve the service, and to make marketplace listings you publish available to buyers under those listings' terms.

IP rights and takedowns. Astrulite, its software, documentation, and branding are owned by Howland Liva and its licensors. If you believe content on the service infringes your rights, contact legal@astrulite.com; we will act on valid notices and may terminate the accounts of repeat infringers.

Payments, subscriptions and Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms at paddle.com/legal/checkout-buyer-terms. Paid plans (such as Pro and Studio) and credit packs are billed at the price shown at checkout, in the currency and interval displayed, and renew automatically until cancelled. You can cancel a recurring subscription at any time; cancellation takes effect at the end of the then-current billing period. Prices may change on notice for future billing periods. Applicable taxes are added by Paddle where required.

Refunds. See our Refund Policy. Refunds are processed by Paddle.

Service level. The service is provided on an "as available" basis. We do not guarantee that it will be uninterrupted, timely, secure, or error-free.

Warranties and liability. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the service is capped at the amounts you paid to us in the 12 months preceding the event giving rise to the claim. Nothing in these terms excludes liability that cannot be excluded under applicable law, such as for fraud, death, or personal injury caused by our negligence.

Indemnity. You will indemnify Howland Liva against third-party claims arising from your content, your use of the service in violation of these terms, or your infringement of any third-party right.

Suspension and termination. You may close your account at any time. We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the service ends; we will make your content available for export for a reasonable period, after which it may be deleted.

Changes. We may update these terms. Material changes will be posted on this page and, where appropriate, notified to you by email. Continued use of the service after changes take effect constitutes acceptance.

Assignment. You may not assign these terms without our consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.

Governing law. These terms are governed by the laws applicable at Howland Liva's place of establishment, without regard to conflict-of-laws principles. Disputes will be brought in the competent courts of that jurisdiction, subject to any mandatory consumer-protection laws that apply to you.
